Terms of Service

These Terms of Service (“Terms”) govern your use of the Superphysio mobile application (the “App”) and the website at superphysio.co (the “Site”), collectively referred to as the “Services,” operated by Superphysio Technologies Inc. (“Superphysio,” “we,” “us,” or “our”), a federally incorporated Canadian corporation with its registered office in Toronto, Ontario, Canada.

By downloading, installing, or using the App, or by accessing the Site, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Services.

1. Eligibility

You must be at least 13 years of age to use Superphysio. By using the Services, you represent and warrant that you meet this age requirement. If you are between 13 and the age of majority in your jurisdiction, you must have the consent of a parent or legal guardian to use the Services.

2. Account Registration

To access certain features, you must create an account using a valid email address, or by signing in with Apple or Google. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate and complete information and to notify us promptly of any unauthorized use of your account.

3. Description of Service

Superphysio is a fitness platform that provides AI-powered personalized workout plans, exercise tracking, progress statistics, and related fitness tools through the App and Site. The Services use artificial intelligence to generate workout recommendations based on the fitness profile and preferences you provide.

4. Subscriptions and Billing

Superphysio offers premium features through auto-renewing subscription plans, available on a monthly or yearly basis. Subscription pricing is displayed in the App at the time of purchase and may vary by region.

Subscriptions are billed through Apple’s App Store (via Apple In-App Purchase) or Google Play (via Google Play Billing), depending on your device. Payment is charged to your Apple ID or Google account at confirmation of purchase. Your subscription automatically renews at the end of each billing period unless you cancel at least 24 hours before the end of the current period. Your account will be charged for renewal within 24 hours prior to the end of the current period at the same rate.

You can manage and cancel your subscription at any time through your device’s App Store or Google Play account settings. Cancellation takes effect at the end of the current billing period — you will retain access to premium features until that date.

If a free trial is offered, any unused portion of the trial period will be forfeited when you purchase a subscription.

5. Refund Policy

All subscription purchases are final and non-refundable, except where required by applicable law. Because subscriptions are processed through the Apple App Store or Google Play, any refund requests must be directed to Apple or Google, respectively, in accordance with their refund policies and applicable consumer protection laws. Superphysio does not process payments directly and cannot issue refunds for App Store or Google Play purchases.

6. Third-Party Content

The Services may include or link to content provided by third parties, including exercise demonstration videos hosted on platforms such as YouTube. Superphysio does not own, control, or claim ownership of third-party content. Third-party content is provided for your convenience and informational purposes only.

We are not responsible for the accuracy, availability, or quality of third-party content, and we do not endorse any opinions or recommendations expressed in it. Third-party content may be subject to its own terms of service and privacy policies. If third-party content becomes unavailable or is removed by its owner, we are not liable for any resulting loss of functionality.

7. AI-Generated Content Disclaimer

Workout plans, exercise recommendations, and other content generated by Superphysio’s AI features are provided for informational and general fitness purposes only. AI-generated content is not a substitute for professional medical advice, diagnosis, or treatment. Always consult a qualified healthcare provider or certified fitness professional before beginning any exercise program, especially if you have pre-existing medical conditions, injuries, or health concerns.

Superphysio does not guarantee the accuracy, completeness, or suitability of AI-generated workout plans for your specific circumstances. You use AI-generated content at your own risk.

8. Health, Fitness, and Physiotherapy Disclaimer

Superphysio is a fitness tracking and planning tool — it is not a medical device and does not provide medical advice. The Services do not provide clinical physiotherapy, physical therapy, rehabilitation treatment, or any form of regulated healthcare service. Superphysio is not a substitute for in-person assessment, diagnosis, or treatment by a licensed physiotherapist, physical therapist, physician, or other qualified healthcare provider.

The Services are not intended to diagnose, treat, cure, or prevent any disease, injury, or medical condition. If you are recovering from an injury, managing a chronic condition, or undergoing rehabilitation, you should consult your treating healthcare provider before using the Services. You are solely responsible for your own health and safety when performing any exercises suggested by the Services. If you experience pain, discomfort, or any adverse reaction during exercise, stop immediately and consult a healthcare professional.

9. User Conduct

You agree not to: use the Services for any unlawful purpose; attempt to gain unauthorized access to our systems or other users’ accounts; interfere with or disrupt the Services or their servers; reverse engineer, decompile, or disassemble the App; use automated means to access the Services (bots, scrapers, etc.); or impersonate any person or entity. We reserve the right to suspend or terminate your account if you violate these Terms.

10. User Content

The Services allow you to create exercises, attach links to third-party videos (such as YouTube), upload your own videos or images, and share content with other users (“User Content”). You retain ownership of any User Content you create or upload.

By submitting User Content to the Services, you grant Superphysio a worldwide, non-exclusive, royalty-free, transferable license to use, display, reproduce, and distribute your User Content solely for the purpose of operating, providing, and improving the Services. This license continues for as long as your User Content remains on the platform and ends when you delete it, except where it has been shared with or saved by other users.

You are solely responsible for your User Content. You represent and warrant that you have all necessary rights to any content you submit, including any videos, images, or links; your User Content does not infringe, misappropriate, or violate the intellectual property rights, privacy rights, or any other rights of any third party; and your User Content does not contain harmful, abusive, defamatory, or unlawful material.

We reserve the right, but have no obligation, to review, monitor, or remove User Content at our sole discretion, including content that we believe violates these Terms or may be harmful to other users. Superphysio is not responsible for User Content created or shared by other users.

11. Intellectual Property

All content, features, and functionality of the App and Site — including but not limited to text, graphics, logos, icons, images, software, exercise descriptions, and AI models — are owned by or licensed to Superphysio Technologies Inc. and are protected by Canadian and international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any part of the App or Site without our prior written consent.

Your workout data and fitness information remain yours. By using the Services, you grant us a limited license to use your data solely to provide and improve our services as described in our Privacy Policy.

12. Account Deletion

You may delete your account at any time through the App (Profile > Delete Account). Upon deletion, your account and associated data (schedules, workout logs, exercise lists, and goals) will be removed. A brief recovery window of approximately 30 days may apply before permanent deletion. Account deletion does not entitle you to a refund of any subscription fees already paid.

13. Limitation of Liability

To the maximum extent permitted by applicable law, Superphysio Technologies Inc., its directors, officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of or inability to use the Services, including but not limited to damages for personal injury, loss of data, loss of profits, or any other intangible losses.

Our total liability for any claim arising out of or related to these Terms or your use of the Services shall not exceed the amount you paid to us in the twelve (12) months preceding the claim, or fifty Canadian dollars (CAD $50), whichever is greater.

14. Disclaimer of Warranties

The App and Site are provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components.

15. Indemnification

You agree to indemnify and hold harmless Superphysio Technologies Inc., its directors, officers, employees, and affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

16. Termination

We may suspend or terminate your access to the Services at any time, without prior notice, for conduct that we determine violates these Terms or is harmful to other users, us, or third parties, or for any other reason at our sole discretion. Upon termination, your right to use the Services ceases immediately.

17. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any dispute arising out of or related to these Terms or your use of the Services shall be subject to the exclusive jurisdiction of the courts located in Toronto, Ontario, Canada.

18. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by posting the updated Terms in the App or on our Site with a revised effective date. Your continued use of the Services after any changes constitutes your acceptance of the updated Terms. If you do not agree with the updated Terms, you must stop using the Services.

19. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

20. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Superphysio Technologies Inc. regarding your use of the Services and supersede all prior agreements and understandings.
